Distance Sales Agreement
Article 1 – Parties

1.2. Buyer
- Any individual or legal entity authorized by the Seller to access the subscription system.
- The Buyer’s full name/company name, contact, and billing details are provided during registration.
Article 2 – Subject of the Agreement
This agreement governs the sale and delivery of digital maintenance/support services purchased by the Buyer from the Seller’s websites https://subscription.citymatrix.com.tr and https://panel.subscription.citymatrix.com.tr, in accordance with the provisions of the Turkish Law on the Protection of Consumers (Law No. 6502) and the Regulation on Distance Contracts.
Article 3 – Description of Services
- The service consists of software maintenance, support, and system administration packages tailored specifically for the Buyer.
- Services are provided entirely in digital form; no physical delivery is made.
- The service begins once the subscription payment is confirmed and continues throughout the subscription period.
Article 4 – Subscription and Payment Terms
- Subscriptions are renewed monthly and payments are securely processed via the Iyzico infrastructure.
- The Seller does not store credit card details.
- The Buyer may cancel the subscription at any time. Cancellations become effective at the end of the current billing period.
Article 5 – Right of Withdrawal
- Since the service is provided digitally and immediately, the right of withdrawal under the Regulation on Distance Contracts cannot be exercised once the service has started.
- However, the Seller allows the Buyer to cancel the subscription at any time, effective at the end of the billing cycle.
Article 6 – Rights and Obligations of the Parties
- The Seller is obliged to provide the service in accordance with the terms of the contract and offer.
- The Buyer must not share system access credentials with third parties and may only use the service for their own needs.
Article 7 – Force Majeure
The parties shall not be held liable for failure to provide services due to force majeure events such as natural disasters, war, fire, earthquakes, or internet outages.
Article 8 – Dispute Resolution
In the event of disputes arising from this agreement, the courts and enforcement offices of Ankara, Turkey, shall have jurisdiction.
Article 9 – Enforcement
By electronically approving this agreement, the Buyer is deemed to have accepted all terms and conditions. The agreement enters into force at the time of approval.
